3.4 The Provider shall perform the Services with reasonable skill and care and shall notify the Client promptly of any matter likely to delay or materially affect performance.
4. Fees
4.1 In consideration of the Services, the Client shall pay the fees set out in Schedule A, exclusive of VAT, which shall be added where applicable.
5. Payment
5.1 The Client shall pay each undisputed invoice within sixty (60) days thirty (30) days of the date of invoice.
5.2 All sums payable under this Agreement are stated in, and shall be paid in, euros the invoice currency, without deduction or set-off.
5.3 Without prejudice to any other right or remedy, overdue amounts shall bear interest at 1.5% per month, accruing daily until paid.
6. Term
6.1 This Agreement takes effect on the Effective Date and continues for an initial term of twelve (12) months, unless terminated earlier in accordance with clause 8.
